What Office Hours is Office Hours is a monthly retainer for three hours of one-on-one working sessions with Amanda Burnswell. These sessions provide time and attention, not a package of finished deliverables. Sessions may include: - Design feedback - Brand and website decisions - Reviewing something you built - Untangling a technology or platform problem - Talking through pricing or project scope - Planning an event or market - Discussing practical next steps for your business Office Hours is not a full design, branding, website, copywriting, or technology project. It does not include production work at the Office Hours rate. If a session turns into a build, production task, or larger project, Brand Name Nerd will scope and price that work separately in writing. ## 2. What is included Office Hours includes **three hours per monthly billing cycle**. The three hours may be split into sessions from 15 minutes up to one hour, for a maximum of three total hours during each monthly billing cycle. Sessions must be booked through the scheduling link provided with your payment receipt. The monthly hours reset on the same calendar day as the subscription purchase date each month. Unused hours expire at the end of the applicable monthly billing cycle. Hours do not roll over, accrue, or create a credit by default. If Brand Name Nerd later introduces rollover or a banked-hours option, that change will be provided in writing before it applies. ## 3. Monthly fee, renewal, and how to cancel **Office Hours is $250 per month and renews automatically. Your card will be charged $250 every month on the same date, starting the day you subscribe, until you cancel.** Office Hours is sold and billed through HubSpot Payments. The subscription continues month to month with no fixed end date unless either party ends it under these terms. The client may cancel at any time by: - Replying to the payment receipt; or - Emailing [**hi@brandnamenerd.com**](mailto:hi@brandnamenerd.com); or - Cancelling directly from the payment receipt, if that option is available All three methods are equally valid. Brand Name Nerd will honor a cancellation request made by any of these methods and will not require the client to use a particular channel. Cancellation is effective at the end of the current paid monthly billing cycle and stops future charges. Brand Name Nerd does not charge a cancellation fee. The current monthly period is not refunded when the client cancels. The client may continue using any remaining eligible Office Hours time through the end of the paid period, subject to the scheduling and expiration rules in these terms. Brand Name Nerd will provide at least 30 days’ written notice before changing the monthly price. The client may cancel before the new price takes effect. Brand Name Nerd will send an email reminder before each renewal when the applicable HubSpot notification setting is enabled. The client may request a plain-text copy of these terms at any time. If a payment fails, Brand Name Nerd may pause access to scheduling until the payment method is updated. Brand Name Nerd will email the client about the failed payment and provide instructions for updating payment information. By purchasing Office Hours, the client agrees to the recurring charges described in this section at checkout before payment. ## 4. Scheduling, rescheduling, and no-shows Office Hours sessions are booked through the scheduling link provided in Section 2. The following rules apply: - A session may be cancelled or moved at no charge with at least 24 hours’ notice. With less than 24 hours’ notice, the session time counts as used. - Sessions must be booked at least one day (24 hours) ahead. Office Hours is not for same-day emergencies. - A session booked by mistake and cancelled right away is not counted as used. - A session missed without notice is forfeited. - A forfeited session is not returned to the client’s available hours. - A session cancelled by Brand Name Nerd will be rescheduled or the time will be restored to the client’s available hours. - A late start does not extend the scheduled session. - Sessions must be used by the subscribing client and are not transferable to another person or business. - The client is responsible for providing accurate contact information and checking for scheduling confirmations or changes. - Book with the same email you used at checkout so Brand Name Nerd can match your booking to your membership. If the client needs to reschedule, they should use the scheduling link when available or email [**hi@brandnamenerd.com**](mailto:hi@brandnamenerd.com). ## 5. What Office Hours is not Amanda Burnswell is a designer and creative business operator. She is not an attorney, accountant, tax preparer, investment adviser, accessibility certifier, or licensed IT professional. Office Hours does not include: - Legal advice - Tax advice - Accounting or bookkeeping advice - Investment advice - Accessibility certification - A compliance audit - Certified information technology consulting - Guaranteed technical, marketing, financial, or business outcomes If a question requires a licensed professional, Amanda will say so. Any guidance provided during Office Hours is general information based on what the client shares. It is not a professional opinion and does not replace advice from a qualified professional. Office Hours does not affect the client’s own legal, tax, accounting, accessibility, licensing, security, or business obligations. Brand Name Nerd does not guarantee results such as revenue, traffic, followers, conversions, search rankings, funding, or business growth. ## 6. Work product and ownership Office Hours is primarily an advisory service. It is not a transfer of ownership in Brand Name Nerd’s methods, systems, templates, frameworks, or internal materials. Anything Amanda personally creates and delivers as a file during Office Hours, such as a sketch, corrected layout, written recommendation, or snippet of copy, is owned by Brand Name Nerd until an applicable project agreement states otherwise. Subject to payment and compliance with these terms, the client receives a non-exclusive licence to use that delivered material in the client’s own business. Office Hours does not include an assignment of ownership. If the parties agree in writing to assign specific Office Hours output to the client, that assignment will be set out in that written agreement and will apply only to the output it names. Strategies, frameworks, templates, internal notes, processes, working methods, and other materials Amanda uses to run or support the sessions remain the property of Brand Name Nerd. The client may not resell, redistribute, publish as its own framework, or use those materials to build a competing service without written permission. ## 7. AI guardrails **Brand Assets may not be used with AI Tools except under an Approved AI Workflow as set out in the AI Addendum.** The client may not record, transcribe, upload, submit, or feed Office Hours sessions, materials, recommendations, templates, frameworks, or other Brand Name Nerd materials into an AI Tool for training, fine-tuning, dataset construction, or use as a reference image, style prompt, or source. The client may not use an AI Tool to generate derivative versions, imitations, or approximations of Brand Name Nerd’s materials or work. The **AI Use, Brand Guardrails & Asset Licensing Addendum** is incorporated into these terms by reference and controls on AI-related matters if there is a conflict. Brand Name Nerd can build an Approved AI Workflow by separate written scope and fee if the client wants help using AI in a controlled way. That service is not included in the $250 monthly Office Hours fee unless the parties agree otherwise in writing. ## 8. Confidentiality and recording Each party will keep the other party’s non-public information confidential and will use it only for the Office Hours relationship. Confidential information may include: - Business plans - Pricing - Client information - Unpublished creative work - Account information - Internal processes - Personal or financial information - Non-public technology or platform details The confidentiality obligation does not apply to information that: - Is already public through no breach of these terms - Was lawfully known before disclosure - Is received lawfully from another source without a confidentiality obligation - Must be disclosed by law, subpoena, or court order The client must ask before recording a session. Recordings, transcripts, screen captures, or automated meeting notes are not permitted unless both parties agree in writing before the session. Any approved recording or transcript must be handled as confidential unless the parties agree otherwise in writing. ## 9. Limitation of liability To the fullest extent permitted by law, Brand Name Nerd’s total aggregate liability arising out of or relating to Office Hours during any twelve-month period is limited to the fees the client paid for Office Hours during that period. Brand Name Nerd is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for: - Lost profits - Lost revenue - Lost opportunities - Lost data - Business interruption - Missed deadlines - Replacement costs - Decisions the client makes based on a session Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, this section applies to the greatest extent permitted by law. Nothing in these terms limits liability that cannot lawfully be limited. ## 10. Term and termination Office Hours begins when the client purchases the subscription and continues monthly until cancelled. Either party may end the subscription by written notice. Unless these terms state otherwise, termination is effective at the end of the current paid monthly billing cycle. Brand Name Nerd may decline to continue a subscription that is outside Brand Name Nerd’s services, expertise, safety requirements, or available capacity. If Brand Name Nerd ends a future month before that month begins, Brand Name Nerd will refund any amount paid for that unused future month. A current monthly period is not refunded merely because the client cancels, misses a session, or does not use all available hours. The following sections survive termination: - Section 5, What Office Hours is not - Section 6, Work product and ownership - Section 7, AI guardrails - Section 8, Confidentiality and recording - Section 9, Limitation of liability ## 11. Governing law These terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules. Any dispute arising from or relating to Office Hours is subject to the state and federal courts located in Orleans Parish, Louisiana. ## 12.
