# Terms of service

The general baseline for our site, services, and workshops, written to be read.

**Version 1.9 · Effective September 29, 2026 · Supersedes all earlier versions**

Welcome. These terms cover the Brand Name Nerd website at [brandnamenerd.com](https://brandnamenerd.com?hsLang=en) and the services we offer through it. They are written to be read, not to be impressive. If anything here is unclear, ask us and we will explain it: [hi@brandnamenerd.com](mailto:hi@brandnamenerd.com).

## 1. Using our site and services

**Acceptance.** By using this site, booking a session, buying a seat, or paying an invoice, you agree to these terms.

**If you have a signed agreement with us, that agreement wins.** A written proposal, statement of work, or signed agreement we have with you takes priority over this page wherever the two differ. This page is the general baseline; your agreement is the specific deal.

**Paid workshops are for adults aged 18 and over.** We do not sell workshop seats to anyone under 18. Youth programming would be its own thing with its own terms, and we do not offer it.

**We may update these terms.** The version in effect when you buy something is the version that applies to that purchase. If we make a material change, we will post the new version here with a new effective date. We will not change the terms of something you have already paid for except where the law requires it.

## 2. Design projects

**Scope and quote.** Every design project starts with a written proposal setting out what we will do, what you will receive, the timeline, and the price. We do not give firm quotes on a call or in a message. A figure mentioned in conversation is an estimate for planning and is not binding until it appears in a written proposal. Anything not listed in the proposal is out of scope, and a change in scope is priced and approved in writing before the work happens.

**Deposit and milestones.** The deposit and payment schedule are set in the proposal or agreement. For a one-off illustration, a deposit of at least 50% locks in the booking. Work begins once the required deposit clears.

**Payment plans.** If you need to stagger your payments, we can set up a payment plan. The plan is agreed in writing in your proposal or agreement before work begins, and it does not change when final files are released (see Ownership below).

**The $100 Discovery Deposit is different.** A project deposit is refundable in full if you cancel before work starts, and non-refundable once work has begun. That rule applies to project deposits only. The $100 Discovery Deposit is non-refundable once paid, with one exception: if BNN is unable to schedule or run the discovery session, it is refunded in full. The Discovery Deposit is credited in full toward the project total if you go ahead, and it expires 60 days after purchase if the session has not been booked. **Revisions.** The number of revision rounds included is stated in your proposal. Extra revision rounds beyond those are billed at our standard hourly rate of $75, and we will tell you before we start.

**Other hourly rates.** Work outside the agreed scope is billed at our extended-scope rate of $100. Eligible nonprofits and 501(c)(3)s approved for our community rate are billed at $60.

**Ownership.** Ownership of the final approved artwork transfers to you when the project is paid in full. Until then, it remains with Brand Name Nerd, and you have a licence to review and use drafts for internal review only. You must finish paying in full before receiving any final assets. Your signed agreement or proposal controls if it gives more specific timing.

**What we keep.** We retain our working files, layered source files, and our process record. We do not hand over working files unless your proposal says so.

**Portfolio use.** We may show the finished work in our portfolio, on our website, and on our social media, with your business name, unless you ask us in writing not to. You can ask at any time, and we will stop using it going forward.

**What you supply.** You keep ownership of anything you give us: your logo files, your photos, your copy, your fonts. You confirm you have the right to use them and to let us use them in the project. If a claim arises from material you supplied, that claim is yours.

**Partner print jobs have two tracks.** Under Track A, you pay the printer directly; BNN prepares the files and proofs. Under Track B, BNN orders and manages the print job; you pay the printer's charge plus a handling fee of 10% of the printer's charge, stated in the proposal. Printing is produced by a third-party printer, and the printer's terms, tolerances, and timelines apply.

If the printer's price goes up after we have quoted you, that is a scope change. We will bring it to you in writing with the new amount and get your approval before the job proceeds. We do not absorb a printer increase that lands after quotation, and we do not pass one through silently.

**Cancellation.** Project cancellation is handled in the agreement you signed with us, and that agreement governs. In summary: a project deposit is refundable in full if you cancel before work starts and is non-refundable once work has begun; work completed up to cancellation remains payable. This does not apply to the $100 Discovery Deposit, which is non-refundable once paid except where BNN cannot schedule the session. Nothing on this page changes what your agreement says.

**Late payment.** Invoices are due 15 days from the invoice date. We send a reminder at the due date and allow a 7-day grace period. After the grace period, a late fee of 1.5% of the overdue balance applies per month. Work pauses and final files are held until the balance is paid in full. Your signed agreement controls if it contains more specific terms.

**Your signed agreement governs.** Ownership, cancellation, late payment, and printing are set out in your signed agreement, and this page summarises them so you can see them in one place. If this page and your agreement ever differ, your agreement governs.

## 3. Consultations and workshops

**Consulting is insight, not a project.** A consulting session gives you recommendations on the topic we agreed. It is a standalone engagement. Any design project that comes out of a consultation is a separate engagement with its own scope and its own written quote. Consulting fees are not credited toward a project, and a consultation does not reserve project time.

**What consulting is not.** It is not legal, tax, accounting, insurance, investment, or certified IT advice, and it is not accessibility certification. Where a question needs a licensed professional, we will say so instead of answering it.

**Workshops are 18 and over.** We do not sell seats to anyone under 18. If a seat is bought for someone under 18, we will cancel it and refund the full amount.

**Workshop refunds and date changes.** Cancellations and date changes must be made in writing at least 24 hours before the workshop start time.

- 24 hours or more before the start: you may choose a full refund, or move your registration to another date.
- Less than 24 hours before the start: no refund and no date change.
- No-show: no refund and no date change.

When we refund, we refund in full. We absorb payment-processing fees rather than deducting them from you.

**Seat transfers.** With at least 24 hours' notice, you may send someone else to take your seat at no charge. The replacement must accept the workshop terms. Transfers are not allowed inside 24 hours.

**If a workshop does not run.** A public workshop runs only if at least 2 seats are sold. If that minimum is not met by 48 hours before the start time, we may cancel it, and you choose between a full refund and a move to another date.

**If enrolment drops after that point.** If someone cancels after the 48-hour mark and that brings the number of attendees below 2, the workshop still runs, unless we tell attendees otherwise. We do not cancel a running workshop because one person dropped out.

**Group and private bookings.** A private or organization booking is quoted separately as a flat fee per session, based on headcount, length, and materials. Group bookings do not follow the per-seat workshop rules.

**Our materials stay ours.** Worksheets, templates, and workbooks we hand out are licensed to you for your own use. You may not resell them, teach or run a paid workshop from them, or present them as your own work. We will not promise a workbook edition or contents until it is printed and ready.

## 4. Free tools hub

**What it is.** Our free tools hub offers small browser-based tools and reference material for small businesses. It is a free resource, not a service engagement.

**As-is, and may change.** The tools are provided as-is, with no warranty of any kind. We may change, pause, or remove a tool at any time, and we may correct or update the guidance behind it. We check what we can, but you should not rely on a free tool as a substitute for professional advice.

**Liability.** To the extent Louisiana law allows, our total liability for the free tools is limited to $100. We are not responsible for decisions you make based on them.

**Feedback form: what not to send us.** Our feedback form is for comments about the tools. Do not send passwords, logins, client files, or personal information through it. If you send us something confidential, we cannot protect it, and we will not treat it as confidential.

## 5. Sponsorships and memberships

**What you get.** A sponsorship gives you exactly what the relevant page lists at the time you purchase: the placement, the credit, and the timeframe stated there. Nothing beyond that page is included, and the placement is on the terms shown when you buy.

**We do not control the tool content.** A sponsorship supports our free tools. It does not give you a say in what a tool does, what it says, or whether it stays. Sponsoring does not mean we endorse your business, and it does not mean you speak for us.

**Renewal and cancellation.** Sponsorships renew automatically on a monthly basis. You can cancel at any time in writing to stop future charges, and cancellation stops charges at the end of the paid period. The month you have already paid for is not cut short. Payment cut-off for the upcoming month is the 27th of the month.

**Annual does not auto-renew; monthly does.** An annual sponsorship is a one-time payment for 12 months and does not renew on its own. A monthly sponsorship renews automatically each month until you cancel.

**Refunds.** The [Tool Sponsorship Terms](https://brandnamenerd.com/tool-sponsorship-terms?hsLang=en) control refunds, and they do not change here. In summary only: a full refund if you cancel before the placement goes live, no refund after it goes live, unused months refunded if a sponsored tool is retired, and no refund of the current or prior month on a monthly sponsorship. If this summary and the Tool Sponsorship Terms ever differ, the Tool Sponsorship Terms govern.

**Memberships and retainers.** A membership or advisory retainer is billed monthly, gives you the time or access stated on its page, and does not roll over. Unused time or access expires at the end of each month. A membership or advisory retainer other than Office Hours requires one week (7 days) written notice before the next renewal date. Cancellation stops future charges at the end of the paid period, the period you have already paid for is not cut short, and there is no part-month refund.

**Office Hours follows its own published terms.** Office Hours is a monthly retainer and follows the [Office Hours Terms](https://brandnamenerd.com/office-hours-terms?hsLang=en): you may cancel at any time, and cancellation takes effect at the end of the paid month. The 7-day notice does not apply to Office Hours.

## 6. Payments, liability, law, contact

**How you can pay.** We accept card payments, which are processed by Stripe, including card payments made through HubSpot checkout. We also accept PayPal, Venmo, and cash in person. Card details are entered with the payment provider and are never stored by us. See our [Privacy Policy](https://brandnamenerd.com/privacy-policy?hsLang=en) for how payment information is handled.

**Liability limit.** To the extent Louisiana law allows, our total liability arising out of a service is limited to the amount you paid us for that service, and for free resources such as the tools hub, to $100. We are not liable for lost profits, lost revenue, or indirect losses, and we are not responsible for outages, suspensions, or policy changes at third-party providers, platforms, registrars, hosts, or printers.

**What this limit does not cover.** Nothing in these terms limits liability for physical injury or for intentional or gross fault.

**Governing law.** These terms are governed by the laws of the State of Louisiana. Disputes will be brought in the state or federal courts located in Orleans Parish, Louisiana.
