1. Welcome, and what these tools are

Brand Name Nerd provides free browser-based tools to make small-business and design decisions less intimidating. The tools currently include:

  • Invoice & Quote Maker
  • Deadline Calculator
  • Metadata Stripper
  • Snippet Previewer
  • File Format Helper
  • WCAG Contrast Checker

  • Social Image Resizer
  • Palette Puller
  • Font Pairing Previewer
  • Font License Helper

These tools are currently in beta. That means they may change, contain errors, break, or be retired as we test and improve them.

Most tools run in your browser without requiring an account, payment, or file upload. Unless a tool page says otherwise, the information you enter is processed in your browser and is not sent to or stored on Brand Name Nerd’s servers.

By accessing or using the free tools, you agree to these Terms & Disclaimer. If you do not agree, please do not use the tools.

2. General information only — not professional advice

The tools provide general information, estimates, and convenience features only. They do not provide professional advice and do not create an attorney-client, accountant-client, investment-advisor, accessibility-consultant, or other professional relationship.

In particular:

  • The calculators do not provide financial, accounting, bookkeeping, tax, or investment advice.
  • The calculators do not provide legal advice.
  • The calculators do not create a professional relationship with Brand Name Nerd or anyone associated with Brand Name Nerd.
  • The Deadline Calculator is not a legal advice tool. Its dates may not account for holidays, court rules, filing requirements, service rules, contract terms, or jurisdiction-specific deadlines. Verify any deadline independently before relying on it.
  • The Font License Helper and File Format Helper provide general guidance only. The licence or other terms that govern are the terms of the licence you actually hold. Brand Name Nerd is not a lawyer, licensing authority, or agent for any font foundry or software provider.
  • The WCAG Contrast Checker and Color Vision Simulator provide automated estimates. They are not an accessibility audit and do not certify compliance with WCAG, the Americans with Disabilities Act, or any other accessibility law.
  • The Metadata Stripper is a convenience tool. You are responsible for confirming that you have the right to modify the file and that removing its metadata is permitted.
  • The Invoice & Quote Maker helps format information. It does not determine whether an invoice is legally or tax compliant.
  • The other tools provide design, formatting, or planning assistance and should not be treated as a complete review of your project or business situation.

Do not use a tool’s output as the sole basis for an important decision. Verify results independently. Where the stakes are significant, speak with a qualified professional such as a CPA, attorney, tax professional, or accessibility specialist.

3. Accuracy, inputs, and estimates

Results depend entirely on the information you enter and the assumptions built into the individual tool. Brand Name Nerd does not verify your inputs.

Tool results are estimates, not guarantees. Some tools use simplified assumptions and may not fit every business, jurisdiction, contract, file, accessibility need, or use case. Third-party data, rates, laws, platform rules, and software terms can change over time.

You are responsible for reviewing the result and deciding whether it is appropriate for your situation.

4. Beta software, availability, and changes

The tools are in beta and are provided on an experimental basis. Brand Name Nerd may change, limit, interrupt, suspend, or discontinue a tool at any time, with or without notice.

Brand Name Nerd does not guarantee:

  • That any individual tool will remain available
  • That the tools will be available at any particular time
  • That the tools will be uninterrupted or error-free
  • That results will be saved
  • That entered information can be recovered
  • That a tool will continue to meet your needs
  • That a tool will be compatible with every browser, device, file, or operating system

Do not treat information entered into a browser-based tool as backed up or as a system of record. Save any result or file you need independently.

5. No warranty

To the fullest extent permitted by law, the free tools are provided “as is” and “as available”, without warranties of any kind, express or implied.

This includes implied warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy
  • Availability
  • Security
  • Non-infringement
  • Completeness
  • Currency

Brand Name Nerd does not warrant that the tools are accurate, complete, current, secure, suitable for a particular purpose, or free from defects, interruptions, harmful code, or errors.

6. Limitation of liability

To the fullest extent permitted by law, Brand Name Nerd’s total aggregate liability arising out of or relating to the free tools or these Terms & Disclaimer is limited to one hundred U.S. dollars ($100).

To the fullest extent permitted by law, Brand Name Nerd will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for:

  • Lost profits
  • Lost revenue
  • Lost data
  • Business interruption
  • Missed deadlines
  • Replacement costs
  • Loss of business opportunities
  • Reliance on an estimate, calculation, date, file result, or other tool output

This applies even if Brand Name Nerd has been advised that such damages may occur. Because the tools are free, this allocation of risk is part of the basis on which Brand Name Nerd makes them available.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the exclusions and limitations apply only to the greatest extent permitted by law.

Nothing in these Terms & Disclaimer limits liability that cannot lawfully be limited, including liability for intentional or gross fault, physical injury, or any other liability that applicable law requires to remain available.

7. What you should not use the free tools for

Do not:

  • Enter confidential client information, trade secrets, or personal data that you do not have the right to process.
  • Enter passwords, payment-card numbers, banking details, government identification numbers, health information, or information about children.
  • Rely on a tool instead of obtaining professional accounting, tax, legal, financial, or accessibility advice.
  • Use a tool to evade a licence, paywall, access restriction, or other legal or technical limitation.
  • Upload or modify a file that you do not have the right to use or modify.
  • Use a tool in a way that violates applicable law or another person’s rights.

The Invoice & Quote Maker does not create a legally binding invoice. You are responsible for your own invoicing, tax, payment, record-keeping, consumer-disclosure, and business obligations.

8. Intellectual property in your content and ours

You keep whatever rights you already have in the information, files, images, text, or other content you enter into a tool. Using a tool does not transfer ownership of your content to Brand Name Nerd.

Brand Name Nerd owns or licenses the tools, including their design, code, copy, interface, branding, documentation, and related materials.

Unless Brand Name Nerd gives written permission, you may not:

  • Resell or redistribute the tools
  • Rebrand or white-label the tools
  • Copy the tools or their underlying code
  • Create a competing tool based on the tools
  • Present the tools as your own software or service
  • Systematically scrape or reproduce the tools
  • Remove Brand Name Nerd branding or attribution where it appears

You may use an individual tool for your own ordinary business, personal, or design-related purposes, subject to these Terms & Disclaimer.

9. Sponsors and third-party links

Sponsored placements in the tool marquees are paid placements. They are not endorsements, recommendations, partnerships, or certifications by Brand Name Nerd.

Brand Name Nerd may link to third-party websites, tools, platforms, businesses, or services from the free tools or sponsor placements. Brand Name Nerd does not control and is not responsible for third-party content, availability, security, privacy practices, products, services, or claims.

Your use of a third-party website or service is governed by that provider’s own terms and policies.

10. Privacy

Most free tools run entirely in your browser and do not process uploaded data on Brand Name Nerd’s servers. Unless a tool page says otherwise, Brand Name Nerd does not receive or retain the information entered into the tool.

Your browser, device, browser extensions, internet provider, and third-party software may handle information according to their own settings and policies.

Information submitted through contact forms, payment pages, scheduling tools, or other website interactions is handled under the Brand Name Nerd Website Privacy Policy.

The Website Privacy Policy is the controlling document for personal information collected through the website.

11. AI tools and these tools

You may not use an AI tool to scrape, replicate, clone, or generate derivative versions of Brand Name Nerd’s free tools, their design, their code, their copy, or their branding.

Brand Assets may not be used with AI Tools except under an Approved AI Workflow as set out in the AI and Your Brand Assets page.

For purposes of this section, “Brand Assets” includes Brand Name Nerd logos, visual identity elements, tool interfaces, illustrations, copy, templates, graphics, and other branded materials. “AI Tools” means software or services that generate, modify, extend, imitate, or transform text, images, code, audio, video, or other content using machine learning or similar technology.

The approved AI workflow pathway is available only by separate written scope and fee. It is not included with ordinary access to the free tools.

12. Changes to these Terms

Brand Name Nerd may update these Terms & Disclaimer as the tools, business, technology, or applicable requirements change.

When we update the document, we will update the version line and effective date. Continued use of the tools after an updated version is posted means that you have reviewed and accepted the updated Terms & Disclaimer.

Brand Name Nerd keeps a dated archive of published versions so the version applicable at a particular time can be identified.

13. Age and eligibility

The tools are intended for adults aged 18 and over.

Do not use the tools to submit information about a child. Brand Name Nerd does not knowingly collect personal information from children under 13 through the website.

14. Governing law and venue

These Terms & Disclaimer are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles.

To the extent permitted by law, any dispute arising out of or relating to the tools or these Terms & Disclaimer is subject to the jurisdiction and venue of the state and federal courts located in Orleans Parish, Louisiana.
