1. Thank you for sponsoring

Thank you for supporting Brand Name Nerd’s free small-business tools.

Your purchase provides a logo-or-image and link placement in a sponsor marquee on brandnamenerd.com, where BNN’s free tools live. Your receipt and HubSpot Payments checkout identify the placement you purchased and whether it is an annual sponsorship or a monthly sponsorship.

These Sponsorship Terms apply to that purchase.

2. What you bought

Prices exclude applicable taxes. Brand Name Nerd collects and remits sales tax where required.

Your receipt and checkout confirmation are the source of truth for the placement purchased, the specific tool if applicable, the term purchased, the price paid, and any taxes or required charges.

Annual sponsorships are a one-time payment for 12 months and do not auto-renew. Monthly sponsorships renew automatically each month until cancelled.

The annual price equals about ten months of the monthly price, so paying for the year up front works out to roughly two months free.

3. Monthly sponsorship — renews automatically until you cancel

This is a recurring monthly charge. Your card will be charged the monthly price every month on the same date, starting the day you subscribe, until you cancel.

Billing, renewal, and term

  • Your monthly sponsorship is billed monthly on the same date each month as the day you subscribed.
  • The sponsorship renews automatically and continues month to month until you cancel. It has no fixed end date.
  • Your agreement to recurring charges is collected at checkout before payment.

How to cancel

  • You may cancel at any time by replying to your receipt or emailing hi@brandnamenerd.com.
  • Cancellation is effective at the end of the current paid month and stops future charges.
  • BNN does not refund the current month or any prior month.
  • Your placement comes off the marquee at the next monthly update after the paid period ends.

Reminders, copies of terms, and price changes

  • BNN emails a reminder before each renewal when that notification setting is enabled.
  • You may request a plain-text copy of these terms at any time by emailing hi@brandnamenerd.com.
  • BNN will provide at least 30 days’ written notice before any price change takes effect. You may cancel before the price change takes effect.

Failed payments

If a payment fails, BNN may pause or remove the placement. BNN will email you before taking that step when reasonably possible. You may restart your sponsorship by updating your payment method or re-subscribing.

Cancel as easily as you subscribed

You keep the ability to cancel as easily as you subscribed, using the methods listed above.

4. Annual sponsorship: how it works

An annual sponsorship is a one-time payment for 12 months.

  • The annual term begins on the day your placement goes live.
  • The sponsorship does not automatically renew.
  • BNN will email you before the year ends when reasonably possible.
  • You will not be charged automatically for another annual term.
  • If BNN later introduces automatic renewal for annual placements, BNN will disclose that clearly before purchase and obtain any required consent.

If you want to continue after the annual term ends, you may purchase a new annual or monthly sponsorship at the then-current price and under the terms then in effect.

5. What to do next

Please reply to your receipt or email hi@brandnamenerd.com with:

  • Your logo or image, preferably as a PNG or SVG
  • A transparent background, if available
  • The website link where the logo should lead
  • Your business name

BNN uses your business name as the logo’s alternative text so screen readers can announce the logo to visitors who cannot see it.

Send your materials by the 27th of the month to be included in the next monthly update. BNN will email you when your sponsorship goes live.

If your materials arrive after the monthly cutoff, your placement may not appear until the following update.

6. How your placement works

  • Annual placements run for 12 months from the go-live date.
  • Monthly placements run for each paid month.
  • Sponsors appear in seniority order, with longer-running sponsors shown up front.
  • BNN measures seniority by the date a sponsorship first goes live. If a monthly sponsorship lapses and later restarts, the new paid term starts a new run unless BNN confirms otherwise in writing.
  • BNN applies that ranking rule consistently within the applicable placement.
  • BNN sizes the logo or image to fit the marquee height.
  • BNN does not redesign, recolor, redraw, or otherwise alter the sponsor’s logo except for ordinary technical preparation needed to display it.
  • The link is marked as sponsored using rel="sponsored".
  • There is no cap on sponsors. Everyone shares one scrolling marquee.
  • Marquees update approximately once a month.
  • A placement generally goes live or comes off the site during a monthly update rather than immediately after a payment or cancellation.
  • BNN may decline a file that cannot be displayed clearly, safely, or accessibly and may ask for a replacement file.

A sponsor may request a reasonable correction to a display or link error. BNN will review the request and correct confirmed errors during a reasonable timeframe.

7. All the Tools discount

The All the Tools placement includes 10% off one design project booked with Brand Name Nerd while the sponsorship is active and paid through.

The discount:

  • Applies to one project only
  • Requires an active All the Tools sponsorship at the time the project is booked
  • For monthly sponsors, paying for one month means the discount applies only for that month
  • The discount ends when the sponsorship lapses
  • Cannot be combined with other discounts
  • Does not apply retroactively to a project already quoted, approved, or underway
  • Does not reduce taxes, printing charges, vendor charges, or third-party costs unless BNN confirms otherwise in writing
  • Is subject to a separate written scope, proposal, and project agreement

A discount already applied to a completed purchase will not be retroactively removed, but no new project may use the discount after the sponsorship ends.

8. Refunds

  • BNN provides a full refund if the sponsor requests cancellation before the placement goes live.
  • BNN does not provide refunds after the placement goes live except as described in these terms.
  • Annual sponsorships: if a sponsored tool is retired, BNN may move the placement to a similar tool. If BNN cannot provide a reasonably similar placement, BNN will refund the unused months of the annual term.
  • If BNN removes a sponsor under Section 9, BNN will refund the unused portion of the paid sponsorship term, unless the removal results from the sponsor’s breach of these terms or from unlawful, deceptive, or infringing material supplied by the sponsor.
  • Payment-processing fees may be deducted from a refund where permitted by the applicable payment provider and law.

9. What we show, and what we decline

Brand Name Nerd is a queer-owned and inclusive studio. BNN may decline a sponsorship that does not fit that environment or the purpose of the free tools, with a full refund before the placement goes live.

If a sponsor’s logo, business name, link, or linked destination later leads to or promotes hateful, deceptive, illegal, fraudulent, discriminatory, sexually explicit, or adult content, BNN may remove the placement and refund the unused portion of the sponsorship term.

BNN may also remove or pause a placement if:

  • The sponsor provided false or misleading information
  • The link is broken, unsafe, deceptive, or redirected to an unrelated destination
  • The sponsor’s materials violate another person’s rights
  • Continued display could expose BNN or its visitors to legal, security, or reputational risk
  • The sponsor fails to pay an amount due

BNN will email the sponsor when reasonably possible before removing or pausing a placement.

There is no cap on sponsors.

10. Your logo, and what you are promising us

You keep ownership of your logo, business name, and other materials you provide.

By submitting them, you confirm that:

  • You have the right to use and authorize BNN to display the logo or image
  • The logo, business name, link, and linked destination do not infringe another person’s intellectual-property, privacy, publicity, or other rights
  • The materials and linked destination do not violate applicable law
  • The linked destination is lawful and accurately represents the sponsor’s business or organization
  • You have authority to enter into the sponsorship and provide the submitted materials

You grant Brand Name Nerd a limited, nonexclusive, revocable-for-breach licence to display your logo or image, business name, and link on the applicable BNN website marquee for the sponsorship term.

BNN will not submit your logo to an artificial-intelligence tool for training, fine-tuning, or use as a style reference. BNN will not use an AI tool to alter your logo or generate logo variants. Ordinary technical resizing, file conversion, compression, and accessibility preparation are not considered AI alteration.

You agree to cover Brand Name Nerd’s losses, claims, damages, liabilities, and reasonable costs, including reasonable attorney fees, arising from your logo, business name, link, linked destination, or other submitted materials breaching this section or violating another person’s rights.

11. No endorsement

Displaying a sponsor’s logo is a paid placement. It is not a recommendation, endorsement, certification, referral, or partnership by Brand Name Nerd.

Likewise, the sponsorship does not mean that the sponsor recommends, endorses, certifies, or partners with Brand Name Nerd.

Neither party may publicly state or imply that the other party has endorsed, certified, or partnered with it without the other party’s written permission.

12. What we cannot promise

Brand Name Nerd does not promise:

  • Clicks
  • Traffic
  • Leads
  • Conversions
  • Sales
  • Search rankings
  • Search-engine placement
  • A particular number of impressions
  • A particular number of visitors
  • Any particular business result

The sponsorship is a visible, linked placement in front of people using BNN’s free tools. That is the full scope of the sponsorship.

BNN’s tools are free and may still be in beta. BNN does not guarantee that any individual tool will remain available, operate without interruption, or remain unchanged throughout a sponsorship term.

13. Limitation of liability

To the fullest extent permitted by law, Brand Name Nerd’s total liability arising from or related to a sponsorship is limited to the amount the sponsor paid for that sponsorship.

To the fullest extent permitted by law, BNN is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, lost data, business interruption, or reputational harm.

This limitation applies whether a claim is based on contract, warranty, negligence, strict liability, statute, or another legal theory, even if BNN was advised that such damages were possible.

Some jurisdictions do not allow certain limitations of liability. In that event, this section applies only to the fullest extent permitted by applicable law.

14. Changes to your placement

BNN may improve, update, move, redesign, or reorganize its tools, change the layout or behavior of a marquee, change how sponsor logos are displayed to improve accessibility, performance, or usability, retire a tool and offer a similar replacement placement, correct technical or security issues, or change the site structure or URL of a tool.

BNN will not reduce the paid term or remove a paid placement except as permitted under Sections 8, 9, or 13.

If a material change substantially reduces the placement purchased, BNN may offer a comparable replacement or a refund of the unused portion of the paid term.

15. Governing law and venue

These terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules.

Any legal action arising from or relating to a sponsorship must be brought in a court of competent jurisdiction in Orleans Parish, Louisiana, unless applicable law requires another venue.

These terms are intended to match the terms shown at HubSpot Payments checkout.

If these terms and the version shown at checkout ever differ, the version shown at checkout governs that purchase. BNN keeps a dated archive of each published version so the terms applicable to a particular purchase can be identified.

The sponsor’s receipt, payment confirmation, and any written confirmation from BNN are part of the sponsorship record.
